Agreement to Terms
By accessing or using Ship Games ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
Ship Games Inc. ("we," "our," or "us") is a Canadian corporation that provides free tools for game developers, including Capsule Image Creator and AI Store Page Localizer, plus a game explorer and other resources to help developers succeed.
Use License
Permission is granted to temporarily use Ship Games for personal or commercial game publishing purposes. This is the grant of a license, not a transfer of title, and under this license you may not:
- Modify or copy the platform software
- Use the Service for any unlawful purpose or to solicit others to perform unlawful acts
- Violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
- Transmit any worms or viruses or any code of a destructive nature
- Infringe upon or violate our intellectual property rights or the intellectual property rights of others
Your Content and Intellectual Property
You retain all ownership rights to your games, content, and intellectual property. By using Ship Games, you grant us a limited, non-exclusive license to:
- Process and format your content for distribution across storefronts
- Display your game information on our platform and marketing materials
- Use your content as necessary to provide the Service
You are solely responsible for ensuring you have all necessary rights and permissions for any content you upload to our platform.
Payment and Fees
Ship Games charges fees for our services, which may include:
- A revenue share (typically around 10%) on game sales processed through our platform
- Subscription fees for certain service tiers
- One-time setup or processing fees
All fees are clearly disclosed before you commit to using our services. Payment terms and billing cycles will be specified in your service agreement.
You are responsible for all applicable taxes related to your use of the Service.
Service Availability
We strive to maintain high availability of our Service, but we do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance
- Technical issues or failures
- Third-party service outages (e.g., storefront APIs)
- Force majeure events
We are not liable for any losses or damages resulting from Service unavailability.
Limitation of Liability
In no event shall Ship Games Inc., its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Indemnification
You agree to defend, indemnify, and hold harmless Ship Games Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of the Service or violation of these Terms.
Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by contacting us.
Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
Governing Law
Ship Games Inc. is incorporated in Canada. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of the Province of Ontario, Canada, and you consent to the exclusive jurisdiction and venue of such courts.
